Frequently Asked Questions

Please reach us at rbrady@bobbradylaw.com if you cannot find an answer to your question.

Contract law governs legally enforceable agreements between individuals or businesses. A valid contract typically requires an offer, acceptance, consideration (something of value exchanged), and mutual intent to be bound. When disputes arise over performance, payment, or obligations, contract law determines each party’s rights and remedies.

You should have an attorney review a contract before you sign it — not after a dispute develops. Many legal problems arise from unclear language, missing protections, or provisions copied from generic internet templates that do not comply with New Jersey law.

A brief review at the outset can often prevent costly litigation later.

Common situations where review is critical include:

  • Business partnerships or operating agreements

  • Construction or contractor agreements

  • Vendor or service contracts

  • Employment agreements

  • Commercial leases

  • Franchise agreements

Generally, a contract is enforceable if it includes:

  • A clear offer and acceptance

  • Consideration (exchange of value)

  • Mutual understanding of material terms

  • Capacity of the parties to contract

  • A lawful purpose

Certain agreements must also be in writing under the Statute of Frauds, such as real estate contracts or agreements that cannot be performed within one year.

Yes. Many verbal agreements are legally enforceable in New Jersey. However, proving the terms of an oral agreement can be difficult and often leads to disputes over what was actually promised.  For that reason, written contracts are strongly recommended for any significant business or financial arrangement.

A breach occurs when a party fails to perform obligations required under the agreement. Depending on the circumstances, remedies may include:

  • Monetary damages

  • Enforcement of the contract terms

  • Cancellation or rescission of the agreement

  • Specific performance (court-ordered compliance)

An experienced attorney can evaluate whether a breach is material and what remedies are available.

It depends on the contract’s language and the surrounding circumstances. Contracts may allow termination:

  • For cause (failure to perform)

  • For convenience (with notice)

  • By mutual agreement

  • Due to impossibility or frustration of purpose

Improper termination can itself constitute a breach, so legal guidance is often advisable before ending a contractual relationship.

Yes. Many disputes occur between parties who initially had a good relationship and believed everything was clear. A properly drafted contract protects both sides by clarifying expectations and addressing issues that may arise later.  Good contracts preserve business relationships by reducing misunderstandings.
